Provider: Tyto AI Labs Pte. Ltd. (doing business as "PropPal CRM", and referred to in these Terms as "PropPal", "we", "us" or "our")

These Terms of Service ("Terms") govern your access to and use of PropPal CRM's application, website, and related services (the "Service"). If you do not agree to these Terms, do not use the Service.
1) Definitions
1.1 "User" means you, an individual using the Service in a business capacity as a property agent, and if applicable, the agency or entity you represent.
1.2 "User Content" means data you provide to or process through the Service, including message content, contact details, metadata, notes, and media.
1.3 "Third-Party Platforms" means services not controlled by PropPal, including WhatsApp and any related services.
1.4 "Fees" means subscription fees and other charges shown at checkout or in your plan.
1.5 "New paying subscriber" means a User who has not previously paid Fees for the Service under the same account or entity.
2) Acceptance and authority
2.1 By clicking "I agree", creating an account, or using the Service, you agree to these Terms and acknowledge you have read and understood them.
2.2 If you use the Service on behalf of an agency or company, you represent you have authority to bind that entity, and "you" includes that entity.
2.3 You must be at least 18 years old and have legal capacity to contract.
2.4 Our Privacy Policy explains how we collect, use, disclose, and retain personal data in connection with the Service. The Privacy Policy is incorporated into these Terms by reference. If there is any conflict between the Privacy Policy and these Terms, these Terms prevail.
3) Eligibility and intended use
3.1 The Service is intended only for business users who are property agents.
3.2 PropPal may request verification and may refuse service at its discretion.
3.3 PropPal may suspend or terminate accounts that do not meet eligibility criteria.
3.4 International use; local law compliance. The Service is offered by PropPal from Singapore but may be accessible worldwide. You are responsible for ensuring your access to and use of the Service is lawful in your jurisdiction, including complying with all local laws, regulations, and industry rules that apply to your business and your communications. The Service is not intended for use in jurisdictions where such use would be prohibited by applicable law.
3.5 Sanctions and export controls. You may not use the Service if you are located in, or are a national or resident of, any country or territory subject to comprehensive sanctions, or if you are otherwise a restricted party under applicable export control or sanctions laws. You represent and warrant that your use of the Service will comply with all applicable export control and sanctions laws and regulations.
3.6 Business use only; no consumer use. The Service is offered only for business and professional use. You represent and warrant that you are not using the Service as a consumer and that you are using it in the course of your trade, business, or profession.
4) Account security
4.1 You are responsible for safeguarding your account credentials and for all activity under your account.
4.2 You must promptly notify PropPal of any suspected unauthorised access.
5) Service scope and WhatsApp connectivity
5.1 The Service may ingest, organise, search, summarise, and draft content based on your communications, including WhatsApp conversations, within the Service.
5.2 No auto-sending: The Service does not automatically send WhatsApp messages. Drafts and suggestions must be reviewed by you and are sent manually by you.
5.3 Session-based connection: The Service may connect via a session-based method (for example, WhatsApp Web or QR login). Connectivity depends on Third-Party Platforms (including WhatsApp Web) and may be interrupted or cease without notice.
5.4 No affiliation: PropPal is not affiliated with, endorsed by, or sponsored by WhatsApp or Meta.
5.5 Third-party changes: Third-Party Platforms may change, restrict, suspend, or remove access at any time. PropPal does not control Third-Party Platforms and does not guarantee continued connectivity or availability.
5.6 One (1) WhatsApp account connection per PropPal account.
5.7 PropPal may modify, suspend, or discontinue any part of the Service at any time, including features and integrations, without liability to the maximum extent permitted by law.
5.8 You acknowledge that Third-Party Platforms may enforce their terms or policies and may restrict accounts or access, including for suspected violations of their policies. PropPal is not responsible for such enforcement or restrictions, to the maximum extent permitted by law. You acknowledge Third-Party Platforms are provided by third parties and are not part of the Service.
6) AI features and accuracy disclaimer
6.1 The Service may use AI to generate summaries, extracted fields, suggested replies, and drafts. AI output may be inaccurate, incomplete, misleading, or inappropriate.
6.2 You must independently review and verify all AI output before relying on it or sending it to any person.
6.3 The Service does not provide legal, regulatory, financial, or professional advice.
6.4 You acknowledge AI output is generated by statistical methods and may be incorrect. You remain responsible for all decisions, actions, and communications made using or relying on AI output.
7) Your responsibilities and acceptable use
7.1 You will use the Service lawfully and responsibly, including complying with all applicable laws, regulations, codes, and Third-Party Platform terms, policies, and requirements relating to privacy, personal data, telemarketing, anti-spam, and electronic communications.
7.2 You are solely responsible for your communications, outreach, marketing practices, and all content you send or choose to send using information obtained from or processed through the Service, including ensuring that such communications are not spammy, misleading, deceptive, harassing, or otherwise unlawful.
7.3 You must not, and must not permit any third party to:
- send spam, bulk unsolicited messages, or engage in harassment or prohibited conduct;
- send marketing messages to Singapore telephone numbers without complying with applicable Do Not Call requirements, including where required checking applicable registers or relying on valid clear and unambiguous consent or another lawful exemption;
- send unsolicited commercial electronic messages in breach of applicable anti-spam laws;
- process personal data without appropriate authority, notice, consent, or other lawful basis where required;
- upload or process highly sensitive credentials (for example, banking passwords, payment card CVVs, or one-time passwords);
- attempt to bypass security, scrape, reverse engineer, or interfere with the Service; or
- use the Service to create, distribute, or facilitate unlawful content or unlawful activity.
7.4 You acknowledge that failure to follow lawful and responsible messaging practices, or to comply with Third-Party Platform rules, may increase the likelihood of restrictions, suspensions, or bans by Third-Party Platforms. PropPal is not responsible for such restrictions, suspensions, or bans except to the extent directly caused by PropPal's fraud, wilful misconduct, or material breach of these Terms.
8) User Content, permissions, and consents
8.1 You retain ownership of your User Content.
8.2 You grant PropPal a limited, non-exclusive, worldwide right, during the term of these Terms, to host, store, reproduce, transmit, process, modify, and display User Content solely as necessary to:
- provide, operate, and support the Service;
- maintain, secure, monitor, troubleshoot, and improve the Service;
- prevent abuse and enforce these Terms; and
- comply with applicable law and lawful requests.
8.2A Unless expressly stated otherwise in writing, PropPal does not use your User Content to train general-purpose artificial intelligence models for the benefit of other customers or third parties. PropPal may use User Content only as necessary to provide, secure, support, troubleshoot, and improve the Service for you, and to generate aggregated or de-identified insights that do not identify you or any individual.
8.3 You represent that you have all rights, authority, and permissions required to provide User Content to PropPal and to instruct PropPal to process it, including where User Content contains third-party personal data.
9) Data protection roles (PDPA)
9.1 Unless expressly agreed otherwise in writing, PropPal processes personal data contained in User Content on your behalf and for your purposes as a data intermediary under the Singapore Personal Data Protection Act 2012 ("PDPA") where applicable, or as a processor / service provider under analogous laws. You remain responsible for determining the purposes for which personal data is processed using the Service and for your compliance obligations as the organisation controlling that data.
9.2 You are responsible for providing any notices and obtaining any consents, authorisations, or other permissions required by applicable law for:
- collecting, using, disclosing, and processing personal data through the Service; and
- instructing PropPal to process, host, disclose, or transfer such personal data to PropPal's subprocessors, including third-party AI service providers, as necessary to provide the Service.
9.3 Where PropPal acts as a data intermediary under the PDPA, PropPal will comply with the obligations under applicable law that apply to data intermediaries in respect of personal data processed on your behalf. PropPal will treat User Content as confidential and will not access, use, or disclose it except as necessary to provide and support the Service, maintain security, prevent abuse, comply with law or lawful requests, enforce these Terms, or as otherwise described in these Terms and the Privacy Policy.
10) Subprocessors, OpenAI, and cross-border processing
10.1 You acknowledge and agree that PropPal may engage third-party service providers and subprocessors to provide, host, support, secure, monitor, and improve the Service.
10.2 AI providers. You acknowledge that message content, prompts, outputs, metadata, and related data may be transmitted to third-party AI service providers, including OpenAI, to provide AI functionality.
10.3 International processing. Personal data and User Content may be processed, stored, backed up, or accessed in Singapore and in other countries where PropPal or its service providers operate.
10.4 You instruct PropPal to make such cross-border transfers of personal data as are reasonably necessary to provide the Service. Where the PDPA applies to such transfers, PropPal will take steps intended to ensure that recipients of personal data transferred outside Singapore are subject to legally enforceable obligations to provide a standard of protection to the transferred personal data that is comparable to the protection required under the PDPA.
10.5 You remain responsible for assessing whether your use of the Service, and your disclosure of personal data to PropPal, is permitted under applicable law, including whether you must provide notices, obtain consents, or satisfy any other legal requirement before using the Service.
11) Security
11.1 PropPal will implement reasonable technical and organisational security measures intended to protect User Content against unauthorised access, collection, use, disclosure, copying, modification, disposal, or similar risks.
11.2 You acknowledge that no method of transmission over the Internet, and no method of electronic storage or security control, is completely secure. Accordingly, PropPal does not guarantee that unauthorised access, loss, corruption, or disclosure will never occur.
11.3 In transit. The Service uses TLS (HTTPS) for data transmitted between your device and the Service.
11.4 If PropPal has credible grounds to believe that a data breach affecting User Content has occurred, PropPal will notify you without undue delay and provide reasonably available information necessary for you to assess and respond to the breach, subject to applicable law, security needs, and confidentiality obligations.
11.5 You are responsible for maintaining the security of your own devices, credentials, systems, and integrations, and for configuring and using the Service in a secure manner.
12) Data retention and deletion
12.1 Upon your written request (sent to support@proppalcrm.com and received by PropPal), PropPal will use commercially reasonable efforts to delete or de-identify User Content from active systems within 30 calendar days after verifying a valid request. PropPal may retain User Content to the extent retention is required by law or necessary for billing, tax, fraud prevention, dispute resolution, security investigations, or to enforce these Terms.
12.2 Residual copies of User Content may persist in backups for a limited period and will be overwritten in accordance with backup cycles, unless earlier removal is required by law.
12.3 After cancellation or termination, PropPal may delete or de-identify User Content at its discretion and in accordance with its retention practices. PropPal does not retain User Content longer than reasonably necessary for legal or business purposes, subject to applicable law and required retention.
12.4 Billing and accounting records may be retained for longer periods to meet legal and tax requirements.
12.5 Deletion requests must be submitted from the email associated with the account to support@proppalcrm.com and must specify the account to be deleted. PropPal may request information needed to verify the request and complete deletion.
13) Fees, billing, auto-renewal, changes, and refunds
13.1 The Service is offered on subscription plans that may be billed monthly or annually, depending on the plan you choose at checkout.
13.2 Unless otherwise stated at checkout or in an order form, subscriptions renew automatically for successive periods of the same length as the then-current subscription term unless cancelled before the renewal date.
13.3 Payment may be collected through PayNow and, where offered, other payment processors. You authorise PropPal and its payment processors to charge the applicable Fees, taxes, and other amounts due using your selected payment method.
13.4 Fee changes. PropPal may change Fees with at least 14 days' notice by email or in-app notice. Any Fee change will apply prospectively and, unless otherwise stated, no earlier than the start of your next renewal term after the notice period.
13.5 30-day refund for New paying subscribers. If you are a New paying subscriber, you may request a full refund within 30 days of your first subscription payment (monthly or annual), provided that:
- you have not materially breached these Terms; and
- your access has not been suspended or terminated for cause.
13.6 No refunds in restriction scenarios. If your WhatsApp account or Third-Party Platform access is restricted, suspended, terminated, or otherwise unavailable due to Third-Party Platform policies, changes, enforcement, outages, or decisions, Fees are non-refundable, except to the extent the relevant issue was directly caused by PropPal's fraud, wilful misconduct, or material breach of these Terms, or where a refund is required by applicable law.
13.7 Except as stated in Sections 13.5 and 13.6, all Fees are non-refundable to the maximum extent permitted by law.
13.8 Except as stated in Sections 13.5 and 13.6 or where required by law, there are no pro-rated refunds or credits for partial billing periods, unused time, downgrades, or partially used subscriptions, including annual plans.
13.9 Cancellation. You may cancel your subscription at any time through the Service or by contacting support. Unless otherwise stated in the Service, cancellation will take effect at the end of the then-current billing period or subscription term, and you will retain access until that time unless these Terms are earlier terminated.
13.10 Failed payments and non-payment. If any payment is overdue or your payment method fails, PropPal may suspend access to the Service after notice and may terminate the Service for continued non-payment. You remain responsible for all unpaid amounts due up to the effective date of termination.
13.11 Taxes. Fees are exclusive of all taxes, levies, duties, or similar governmental assessments, including VAT, GST, sales tax, and withholding taxes, except where stated otherwise. You are responsible for all taxes associated with your purchase of the Service, other than taxes based on PropPal's income.
13.12 Withholding. If you are required by law to withhold any taxes from payments to PropPal, you will increase the payment so that PropPal receives the full amount it would have received absent the withholding, unless prohibited by law.
13.13 Currency. Fees are payable in the currency presented at checkout or otherwise specified by PropPal in writing.
13.14 Invoices and tax information. If you require an invoice or local tax information, you must provide accurate billing details, including tax registration numbers where applicable. PropPal may issue invoices electronically.
14) Suspension and termination
14.1 You may cancel your subscription as described in Section 13.9.
14.2 PropPal may suspend or terminate your access immediately if it reasonably believes:
- you breached these Terms, or
- your use creates security, legal, compliance, or reputational risk, or
- suspension is required to comply with law or Third-Party Platform requirements, or
- you fail to pay Fees when due, or
- continued operation may harm the Service or other users.
14.3 Upon termination, your right to use the Service ends immediately. Refunds (if any) are governed by Section 13.
15) Intellectual property
15.1 PropPal retains all rights, title, and interest in the Service, including software, branding, and documentation.
15.2 You may not copy, modify, reverse engineer, or create derivative works of the Service except where permitted by law.
15.3 Subject to these Terms and payment of Fees, PropPal grants you a limited, revocable, non-exclusive, non-transferable right to access and use the Service for your internal business use.
15.4 Feedback. If you provide feedback, suggestions, or ideas about the Service ("Feedback"), you grant PropPal a perpetual, irrevocable, worldwide, royalty-free, fully paid, non-exclusive right to use, reproduce, modify, create derivative works from, incorporate, and otherwise exploit the Feedback for any purpose, without restriction or obligation (including without attribution or compensation). Feedback is not confidential.
16) Disclaimers
16.1 The Service is provided on an "as is" and "as available" basis.
16.2 PropPal disclaims all warranties to the maximum extent permitted by law, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
16.3 PropPal does not warrant uninterrupted operation, error-free outputs, or continued Third-Party Platform connectivity.
16.4 PropPal does not provide any service level agreement or uptime guarantee unless expressly agreed in writing.
17) Release for Third-Party Platform actions
To the maximum extent permitted by law, you release PropPal from claims arising from actions or restrictions imposed by Third-Party Platforms (including WhatsApp or Meta), including loss of access, limitation of features, or service interruptions, except to the extent caused by PropPal's fraud or wilful misconduct.
18) Limitation of liability
18.1 To the maximum extent permitted by law, PropPal is not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business opportunity, deals, goodwill, reputation, or anticipated savings, or for any loss or corruption of data, arising out of or relating to the Service, even if advised of the possibility of such damages.
18.2 To the maximum extent permitted by law, PropPal is not liable for restrictions, enforcement actions, bans, outages, or unavailability caused by Third-Party Platforms, including WhatsApp or Meta, except to the extent directly caused by PropPal's fraud, wilful misconduct, or material breach of these Terms.
18.3 To the maximum extent permitted by law, PropPal's total aggregate liability arising out of or relating to the Service, whether in contract, tort (including negligence), strict liability, or otherwise, will not exceed the greater of:
- the Fees paid by you to PropPal for the Service in the 12 months immediately preceding the event giving rise to the claim; or
- SGD 1,000.
18.4 Nothing in these Terms excludes or limits liability to the extent such liability cannot be excluded or limited under applicable law, including for fraud or wilful misconduct.
19) Indemnity (limited, company-protective)
19.1 You will indemnify and hold harmless PropPal from third-party claims, damages, liabilities, penalties, costs, and reasonable legal fees, to the extent arising from:
- your breach of these Terms;
- your communications, outreach, or marketing practices, including spam or prohibited conduct;
- your failure to obtain required authority, notices, consents, or other permissions for personal data processing; or
- allegations that your User Content, or your use of the Service, infringes third-party rights or violates applicable law.
19.2 PropPal will promptly notify you of any indemnified claim. You will control the defence and settlement of the claim, provided you may not settle any claim in a way that imposes obligations on PropPal without PropPal's prior written consent. PropPal may participate with counsel at its own expense. You will reasonably cooperate with PropPal in the defence of the claim.
20) Dispute resolution: 60-day informal process, then SIAC arbitration
20.1 Informal resolution: Before starting arbitration, the parties must attempt to resolve any dispute by written notice and good faith discussions for 60 days.
20.2 Arbitration: Any dispute not resolved under 20.1 will be finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) under the SIAC Rules in force when arbitration begins. The arbitral award will be final and binding.

- Tribunal: one arbitrator
20.3 Court proceedings and enforcement: The parties submit to the exclusive jurisdiction of the courts of Singapore for any court proceedings relating to the arbitration (including applications for interim relief, challenges to jurisdiction, or setting aside). Judgment on the arbitral award may be entered in the courts of Singapore. Nothing in these Terms prevents a party from seeking recognition or enforcement of the arbitral award in any jurisdiction where necessary to enforce the award.
20.4 Class action waiver: To the maximum extent permitted by law, disputes must be brought in an individual capacity and not as a plaintiff or class member in any purported class, collective, or representative proceeding.
20.5 Interim relief: Either party may seek urgent interim relief from the courts of Singapore for confidentiality, data security, or intellectual property protection.
21) Notices
21.1 Legal notices to PropPal must be sent to support@proppalcrm.com, unless PropPal designates another notice address. Service of court documents must be effected in accordance with applicable law.
21.2 PropPal may send notices to you by email, in-app notifications, or other reasonable means.
22) Changes to these Terms
22.1 These Terms are effective as of the "Last updated" date above. We may update these Terms from time to time. We will notify you by email or in-app. Continued use after the effective date of an updated version constitutes acceptance.
22.2 Privacy Policy updates: We may update the Privacy Policy from time to time. If we make changes that materially affect how we collect, use, or disclose personal data, we will provide notice (for example, in-app or by email) and may require you to re-accept before continuing to use the Service. Continued use after the effective date of a non-material update constitutes acceptance. If re-acceptance is required and you do not accept, you must stop using the Service.
23) Governing law
These Terms are governed by the laws of Singapore, without regard to conflict of laws principles.
24) Miscellaneous
24.1 Severability: If any provision is unenforceable, the remainder remains in effect.
24.2 Assignment: You may not assign these Terms without PropPal's written consent. PropPal may assign its rights and obligations as part of a reorganisation, merger, acquisition, or sale of assets.
24.3 Entire agreement: These Terms and the Privacy Policy form the entire agreement between you and PropPal regarding the Service and supersede all prior or contemporaneous agreements on that subject.
24.4 No waiver: Failure to enforce a provision is not a waiver of rights.
24.5 Force majeure: PropPal is not liable for delays or failures caused by events beyond its reasonable control.
24.6 No agency: Nothing in these Terms creates a partnership, employment, or agency relationship between you and PropPal.
24.7 Survival: Sections 2.4, 8, 9, 10, 12, 13, 16, 17, 18, 19, 20, and 24 will survive any termination or expiry of these Terms.
24.8 Language. These Terms are drafted in English. If these Terms are translated, the English version will prevail to the extent of any inconsistency, to the maximum extent permitted by law.
24.9 Mandatory laws. Certain jurisdictions may not allow the exclusion of certain warranties or the limitation of certain liabilities. The disclaimers, exclusions, and limitations in these Terms apply to the maximum extent permitted by applicable law.
